Welcome to FlipConvert. These Terms of Service ("Terms") govern your access to and use of our services, including our website, applications, and APIs (collectively, the "Service"). By using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Service, you confirm that you are at least 13 years old and have the authority to bind yourself or the entity you represent to these Terms. If you do not agree to these Terms, do not use our Service.

2. Account Registration

To use certain features, you must create an account. You agree to:

3. Subscription and Payments

Pricing

Our pricing is displayed on our pricing page. Prices are subject to change with 30 days' notice for existing subscribers.

Billing

Subscriptions are billed monthly or annually in advance. By providing a payment method, you authorize us to charge the applicable fees. All payments are non-refundable except as required by law or at our discretion.

Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from your account settings.

Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of your current billing period.

4. Acceptable Use Policy

You agree not to use our Service to:

• Upload, store, or share illegal, harmful, or offensive content
• Infringe on intellectual property rights of others
• Distribute malware, spam, or engage in phishing
• Attempt to breach security or gain unauthorized access
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Violate any applicable laws or regulations

We reserve the right to remove content and terminate accounts that violate this policy.

5. Your Content

Ownership

You retain ownership of all content you upload, including PDF files and associated materials. We do not claim ownership of your content.

License to Us

By uploading content, you grant us a limited license to store, process, and display your content for the purpose of providing the Service. This license terminates when you delete the content or your account.

Responsibility

You are solely responsible for your content. You represent that you have all necessary rights to upload and share your content.

6. Intellectual Property

FlipConvert and its associated trademarks, logos, and content are our property or licensed to us. You may not use our trademarks without prior written consent.

7. Service Levels

We strive to provide reliable service but do not guarantee 100% uptime. We may experience scheduled or unscheduled downtime for maintenance or other reasons. We will provide advance notice of scheduled maintenance when possible.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless FlipConvert and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

You may terminate your account at any time. We may suspend or terminate your account for violation of these Terms or for any other reason at our discretion. Upon termination:

• Your access to the Service will cease
• Your content will be deleted within 30 days
• No refunds will be provided for partial billing periods
• Provisions that by their nature should survive will remain in effect

12. Modifications to Terms

We may modify these Terms from time to time. We will notify you of significant changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Modifications to Service

We may modify, suspend, or discontinue any feature of the Service at any time. We will provide advance notice of significant changes when possible.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FlipConvert is organized, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.

15. Dispute Resolution

In the event of a dispute, you agree to first attempt to resolve it informally by contacting us at legal@flipconvert.com. If we cannot resolve the dispute within 30 days, either party may pursue binding arbitration or seek resolution in court.

16. Export Compliance

You agree not to use the Service in violation of any export control laws or regulations. You represent that you are not located in a country subject to a U.S. embargo.

17. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and FlipConvert.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• No Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
